Issuer : Mega Business Fund Limited issues floating rate senior notes and mezzanine preference shares to fund the purchase of a portfolio of Euro Convertible Bonds (the ECBS).

Arranger : The International Commercial Bank of China

Portfolio Manager : The Fund is managed by ICBCAMC Offshore, a British Virgin Islands company, and ICBC AMC in Taiwan as Portfolio Management Advisor.
Note Trustee : The Bank of New York is the trustee of the senior notes and the ECBs.

Guarantor : The International Commercial Bank of China

¡E The long-term credit rating of ICBC is ¡§A-2¡¨ by S&P Rating Services and ¡§A-2¡¨ by Moody's Investors Services, Inc..
¡E The short-term credit rating of ICBC is ¡§A-2¡¨ by S&P Rating Services and ¡§P-1¡¨ by Moody's Investors Services, Inc..
¡E Payments of principle and interest under the Senior Notes are unconditionally guaranteed by ICBC.
